These Terms of Service ("Terms") constitute a legally binding agreement between you and ServoAgent Inc. ("ServoAgent," "we," "us," or "our") governing your access to and use of the ServoAgent platform and services.

By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access our services.

2. Description of Services

ServoAgent provides an AI agent platform that enables organizations to deploy automated voice, chat, email, and video agents for sales, support, and marketing purposes. Our services include:

• AI agent creation and configuration tools
• Multi-channel deployment capabilities
• Analytics and reporting dashboards
• Integration with third-party services
• API access for custom implementations

3. Account Registration

To use our services, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly update any changes to your information
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

4. Acceptable Use

You agree not to use our services to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit malware or malicious code
• Engage in harassment, fraud, or deception
• Collect data without proper consent
• Interfere with the operation of our services
• Attempt to gain unauthorized access to systems
• Use agents to make deceptive or fraudulent representations

5. Payment Terms

Certain features require paid subscriptions. By subscribing, you agree to:

• Pay all fees according to your selected plan
• Provide valid payment information
• Accept automatic renewal unless cancelled
• Pay any applicable taxes

Refunds are provided in accordance with our refund policy. Usage-based charges are billed monthly based on actual consumption.

6. Intellectual Property

Our Property: ServoAgent retains all rights to our platform, technology, branding, and content. These Terms do not grant you any rights to our intellectual property except as expressly stated.

Your Content: You retain ownership of content you provide to our platform. You grant us a license to use this content as necessary to provide our services.

7. AI Agent Disclosure

You agree to ensure that interactions with your AI agents are appropriately disclosed to end users. You must not represent AI agents as human when legally required to disclose their automated nature. You are responsible for compliance with all applicable disclosure requirements in your jurisdiction.

8. Data Processing

Our processing of personal data is governed by our Privacy Policy and Data Processing Agreement. You are responsible for ensuring you have appropriate legal basis and consents for any personal data processed through your agents.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may modify, suspend, or discontinue services with reasonable notice. Scheduled maintenance will be communicated in advance when possible.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERVOAGENT SHALL NOT BE LIABLE FOR:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Damages exceeding fees paid in the prior 12 months
• Actions or omissions of third parties

11. Indemnification

You agree to indemnify and hold harmless ServoAgent and its affiliates from any claims, damages, or expenses arising from your use of our services, violation of these Terms, or infringement of third-party rights.

12. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your access immediately for violations of these Terms. Upon termination:

• Your access to services will cease
• You may export your data within 30 days
• Outstanding fees become immediately due
• Provisions that should survive will remain in effect

13. Dispute Resolution

Any disputes shall be resolved through binding arbitration in San Francisco, California, except for claims eligible for small claims court. You waive any right to participate in class actions. This agreement is governed by the laws of the State of California.

14. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or through our platform. Continued use after changes constitutes acceptance of the modified Terms.
